Advantage Business Angels hereinafter referred to as “We”, “Our” or “Us”.
Early Stage Business
Early Stage Businesses are: individual entrepreneurs; young growing companies; or re-starts of older businesses based on new ideas, that have registered with us hereinafter referred to as “Early Stage Businesses” in these terms and conditions.
Entrepreneur
Entrepreneurs are any individual or individuals managing Early Stage Businesses hereinafter referred to as “Entrepreneurs” in these terms and conditions.
Entrepreneurs provide US with information on their businesses in order to raise investment hereinafter referred to as “Information” in these terms and conditions.
The content of Information on Early Stage Businesses supplied by Us has not been approved by an authorised person within the meaning of the Financial Services and Markets Act 2000. Reliance on the Information for the purposes of engaging in any investment activity may expose an individual to a significant risk of losing all of their property or assets invested. It may be difficult to sell or realise the investments at a reasonable price or at any price. It may be difficult to obtain reliable information about its value or the extent of the risks to which it is exposed. Accordingly, you should carefully consider whether such investments are suitable for you in the light of your personal circumstances and financial resources available to you.

Investments in Early Stage Businesses may not be suitable for everyone. If you have any doubt whether it is suitable for you, you should obtain expert advice.
By agreeing to our terms you confirm that you are a certified high net worth individual or sophisticated investor for the purposes of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2001.
You had during the financial year immediately preceding the date of this registration an annual income of £100,000 or more you held throughout the financial year immediately preceding the date of this registration net assets of £250,000 or more excluding: the property which is your primary residence or any loan secured on that residence any rights under a qualifying contract of insurance within the meaning of the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001 any benefits (in the form of pensions or otherwise) which are payable on termination of service or death or retirement and to which you are (or your dependents are) or may be entitled.
You are a high net worth individual because at least one of the following applies:
You are a sophisticated investor in respect of investment in Early Stage Businesses because at least one of the following applies:
You are: a member of a network or syndicate of business angels and have been so for at least the last six months prior to the date below; or have made more than one investment in an unlisted company in the two years prior to the date below; or are working, or have worked in the two years prior to the date below, in a professional capacity in the private equity sector, or in the provision of finance for small and medium enterprises; or are currently, or have been in the two years prior to the date below, a director of a company with an annual turnover of at least £1 million.
You understand that being a certified high net worth individual or a sophisticated investor means:
You can receive financial promotions that may not have been approved by a person authorised by the Financial Services Authority the content of such financial promotions may not conform to rules issued by the Financial Services Authority by registering and agreeing to this statement you may lose significant rights: you may have no right to seek compensation from the Financial Services Compensation Scheme you may have no right to complain to the Financial Services Authority or the Financial Ombudsman Scheme.
Investor
An Investor is any individual or company seeking to make investments in Early Stage Businesses who is registered with Us and has read and agreed to the Health Warning and these terms and conditions hereinafter referred to as “You” in these terms and conditions.
Services
We identify and provide information on Early Stage Businesses to Our Investors only. We act as an introduction service only: identifying Early Stage Businesses that You have indicated might be of interest to You; we do not act as investment advisers; we do not undertake any validation work on the information supplied to Us by Early Stage Businesses; we do not perform due diligence; hereinafter referred to as “Services” in these terms and conditions.
Registration
Registration by You on this website confirms that You are seeking to invest in Early Stage Businesses and wish to use the Services on the basis that You: are a high net worth individual and/or a sophisticated investor in accordance with the Financial Services and Markets Act 2000; are seeking information on Early Stage Businesses with a view to investing; accept that We are not your agent; understand that We act for the Early Stage Business and hence have no duty of care to You and agree to inform us in writing if you are considering or have made any investment in an Early Stage Business that is registered with Us.
Confidentiality of Information
Any information that we supply to you about investment opportunities must be kept in confidence and not divulged to anyone at any time without our permission, or that of the author of that information.
Termination
Your registration with us may be terminated at any time by either of us giving the other written notice to that effect.
Income
We derive income from fees paid to us by Early Stage Businesses. If You ask us we will tell you the fees we receive from the Early Stage Business You have invested in.
Money Laundering
If you decide to make an investment in any of the Early Stage Businesses You will be required to confirm your identity directly with the Early Stage Business in accordance with current money laundering legislation.
